[Country]CONCERNINGTHEENCOURAGEMENTANDRECIPROCALPROTECTIONOFINVESTMENTTheGovernmentoftheUnitedStatesofAmericaandtheGovernmentof[Country](hereinafterthe“Parties”);ooperationbetweenthemwithrespecttoinvestmentbynationalsandenterprisesofonePartyintheterritoryoftheotherParty;ordedsuchinvestmentwillstimulatetheflowofprivatecapitalandtheeconomicdevelopmentoftheParties;Agreeingthatastableframeworkforinvestmentwillmaximizeeffectiveutilizationofeconomicresourcesandimprovelivingstandards;Recognizingtheimportanceofprovidingeffectivemeansofassertingclaimsandenforcingrightswithrespecttoinvestmentundernationallawaswellasthroughinternationalarbitration;Desiringtoachievetheseobjectivesinamannerconsistentwiththeprotectionofhealth,safety,andtheenvironment,andthepromotionofinternationallyrecognizedlaborrights;HavingresolvedtoconcludeaTreatyconcerningtheencouragementandreciprocalprotectionofinvestment;Haveagreedasfollows:SECTIONAArticle1:DefinitionsForpurposesofthisTreaty:“centrallevelofgovernment”means:(a)fortheUnitedStates,thefederallevelofgovernment;and(b)for[Country],[__].“Centre”meanstheInternationalCentreforSettlementofInvestmentDisputes(“ICSID”)establishedbytheICSIDConvention.“claimant”meansaninvestorofaPartythatisapartytoaninvestmentdisputewiththeotherParty.“coveredinvestment”means,withrespecttoaParty,aninvestmentinitsterritoryofaninvestoroftheotherPartyinexistenceasofthedateofentryintoforceofthisTreatyorestablished,acquired,orexpandedthereafter.“disputingparties”meanstheclaimantandtherespondent.“disputingparty”meanseithertheclaimantortherespondent.“enterprise”anizedunderapplicablelaw,whetherornotforprofit,overnmentallyownedorcontrolled,includingacorporation,trust,partnership,soleproprietorship,jointventure,association,anization;andabranchofanenterprise.“enterpriseofaParty”anizedunderthelawofaParty,andabranchlocatedintheterritoryofaPartyandcarryingoutbusinessactivitiesther
